1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "Licensee") and RagnextLabs LLC ("RagNext", "we", "us", or "our"), concerning your access to and use of the RagNext website (ragnext.com), RagNext Studio desktop applications, and associated services.
By downloading, installing, accessing, or purchasing a license for RagNext Studio, you acknowledge that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the software.
2. Software License & Editions
We grant you a non-exclusive, non-transferable, revocable license to use RagNext Studio subject to the tier selected:
Community Edition (Free Evaluation)
Free for learning, hobbyists, and evaluation.

- • Standard project limits for non-commercial evaluation.
- • Host-OS standalone export capability.
RagNext AI Pro ($29.99/yr)

- • AI Co-Authoring & dialogue assistance tools.
- • Multi-machine activation (up to 3 personal devices).
- • 14-day offline grace period lease.
3. 100% Commercial Rights & Creator Ownership
All stories, visual novels, scripts, artwork, audio, characters, and standalone game executables you author with RagNext Studio are 100% your intellectual property. RagnextLabs LLC claims zero royalties, zero revenue share, and zero copyright ownership over your exported games. You are free to sell and distribute your games commercially on Steam, itch.io, GOG, or your own website.
4. Pricing, Billing & Subscription Renewals
- Visible & Promotional Pricing: RagNext AI Pro is offered at an Early Access promotional sale price of $29.99 USD per year (discounted 40% from the standard $49.99 USD/year rate). Subscribing during the promotional period locks in this promotional rate for your subscription.
- Recurring Billing: Annual subscriptions automatically renew every 12 months on the anniversary of your purchase date unless cancelled prior to renewal.
- Merchant of Record: Orders and payments are processed via our authorized Merchant of Record (Creem), who handles all invoicing, local sales taxes, and EU VAT collection.
- Cancellation: You may cancel your subscription at any time with a single click via the Customer Billing Portal or by contacting support. Upon cancellation, your license remains fully functional until the end of your prepaid billing period with no subsequent charges.
5. 14-Day Money-Back Guarantee & Refund Policy
We want you to be confident in your purchase of RagNext AI Pro. Because we offer a full-featured free Community Edition, we encourage all creators to test and evaluate the software on their systems before subscribing.
However, if you experience technical issues, compatibility problems, or if the software does not perform as intended on your system, we offer a 14-day money-back guarantee from the date of purchase.
- Immediate License Revocation: Upon refund approval, the associated digital license key will be deactivated immediately, and your installation of RagNext Studio will automatically revert to the Free Community Edition.
- How to Request: To request a refund within 14 days of purchase, please email support@ragnext.com with your order email and license key. Refunds are processed back to your original payment method via our Merchant of Record.
- Subscription Renewals: You may cancel future recurring renewals at any time with a single click via the Customer Billing Portal without penalty.
6. Acceptable Use & Prohibited Activities
You agree not to:
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of RagNext Studio.
- Circumvent, bypass, or tamper with the license activation and verification systems.
- Publicly share, resell, rent, lease, or distribute your private AI Pro license keys to unauthorized third parties.
- Use the software or AI endpoints to generate content that violates applicable laws or intellectual property rights.
7. Disclaimer of Warranties & Limitation of Liability
RagNext Studio is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied. To the maximum extent permitted by applicable law, RagnextLabs LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use the software.
